Labex IT Solution LLC doing business as Prime Agent Referrals

This Non-Disclosure Policy (“Policy”) is entered into between Prime Agent Referrals, a real estate referral company (“Company”), and the undersigned real estate professional or brokerage (“Recipient” or “Realtor”) — collectively referred to as the “Parties.”
The purpose of this Policy is to ensure the confidentiality and protection of private, business, and proprietary information shared during the course of business.

1. Purpose

The objective of this Policy is to safeguard the Realtor’s private and professional information, including but not limited to:

• Personal and business contact details
  
• Real estate license credentials
  
• Marketing and operational strategies
  
• Client data, lead information, or referral details
  
• Performance reports and conversion statistics
  
• Proprietary CRM or process information
  

All such information shared between the Parties is considered confidential and proprietary.

2. Confidentiality Obligations

Prime Agent Referrals agrees to:

1. Treat all Realtor information as strictly confidential.
   
2. Not disclose, share, sell, or distribute any Realtor’s contact details, credentials, or business data to any third party — including other agents, vendors, or marketing partners — without written consent.
   
3. Use the Realtor’s information solely for the purpose of fulfilling the Referral Agreement, providing lead services, and maintaining internal CRM operations.
   
4. Maintain reasonable administrative, technical, and physical safeguards to prevent unauthorized access, sharing, or misuse of data.
   

3. Common Industry Issue Protection

Prime Agent Referrals recognizes that the real estate referral industry often involves multiple data-sharing channels, which can increase the risk of:

• Unsolicited or unauthorized communication with the Realtor by other agents,
  
• Misuse or duplication of the Realtor’s leads or credentials,
  
• Breach of trust or disruption to ongoing transactions.
  

To prevent such occurrences, the Company enforces strict internal data access controls and employee confidentiality agreements.
No Realtor’s identity, leads, or contact details shall be shared or reused for any purpose outside the scope of the original business relationship.

4. Term

This Policy shall remain in effect:

• For the entire duration of the business relationship between the Parties, and
  
• For an additional 30 days following the termination of any subscription, contract, or referral partnership.
  

After expiration, all stored Realtor data will be securely archived or deleted in accordance with applicable data privacy laws.

5. Remedies for Breach

If a breach of this Policy occurs, the affected Realtor has the right to:

• Request an immediate cease-and-desist of unauthorized use or disclosure,
  
• Seek legal damages or compensation for harm caused by the breach, and
  
• Terminate the partnership or subscription without penalty.
  

Prime Agent Referrals reserves the right to investigate and take corrective action, including termination of responsible employees or associates, to uphold confidentiality integrity.

6. Governing Law

This Policy shall be governed by and construed in accordance with the laws of the State of Texas, USA, without regard to conflict of law principles.
